Terms of Service
The agreement between you and Uouo Duo LLC for use of uouo cloud.

These Terms of Service (“Terms”) are a binding agreement between you and Uouo Duo LLC, a Wyoming limited liability company with entity ID 2026-001964626 (“Uouo Duo LLC”, “uouo cloud”, “we”, “us”), and govern your access to and use of the uouo cloud websites, APIs, AI API relay, AI model routing, usage management, billing, and related services (the “Service”). uouo cloud is a service operated by Uouo Duo LLC.
By creating an account, accessing the Service, or using any API key, you agree to these Terms, our Privacy Policy, our Acceptable Use Policy, and any product-specific terms presented to you.

2. Eligibility and accounts
You must be at least 18 years old, or the age of legal majority in your jurisdiction, whichever is higher. The Service is not intended for minors. You are responsible for all activity under your account and for keeping account credentials, API keys, and workspace access secure. You must promptly notify us of unauthorized access or API key exposure.
3. The Service
uouo cloud is an AI API relay, AI model routing, and AI middleware SaaS platform. The Service provides access, routing, usage management, and billing for third-party AI model APIs. We do not operate or control the upstream model providers. Model availability, pricing, rate limits, context windows, provider policies, output behavior, and routing behavior may change at any time.
Unless separately agreed in writing, the Service is provided without any specific uptime, availability, performance, latency, or service level commitment.
4. Acceptable use and enforcement
You must comply with our Acceptable Use Policy, applicable law, sanctions and export control restrictions, payment rules, and the usage policies of any upstream model provider used to process your request. We may suspend, restrict, rate-limit, or terminate accounts, API keys, payments, routing, or access for abuse, fraud, illegal activity, sanctions risk, payment risk, excessive load, safety risk, provider policy violations, or violations of these Terms.
5. Fees, billing, subscriptions, and refunds
Paid usage is billed according to the prices, subscriptions, prepaid balances, credits, or usage rates shown in the product or on our pricing pages. You are responsible for taxes unless stated otherwise. Payments are non-refundable unless required by applicable law or expressly approved in writing by Uouo Duo LLC.
- Subscription users may cancel future renewals, but current billing period fees are not refundable.
- Usage-based credits and prepaid balances are non-refundable once purchased or used.
- No refund is provided for accounts suspended or terminated for Terms, AUP, fraud, abuse, sanctions, or payment violations.
- Service credits may be provided at our discretion, but are not guaranteed.
6. Card and crypto payments
Card and subscription payments are processed through Stripe. We may also accept USDT payments through supported blockchain networks, currently including BSC, Arbitrum, Solana, and Polygon. Crypto payments are non-refundable once confirmed unless expressly approved by Uouo Duo LLC or required by law.
You are responsible for selecting the correct blockchain network, wallet address, and amount. Failed transfers, wrong-network transfers, gas fees, network fees, currency conversion costs, and unrecoverable charges are your responsibility and may be deducted from any approved refund.
7. Customer content, prompts, outputs, and provider terms
You retain ownership of content you submit and outputs you receive, subject to the rights and terms of upstream providers. Prompts, outputs, API request data, and related metadata may be routed to third-party AI model providers, including OpenAI, Anthropic, Google, and DeepSeek, to provide the Service. You must comply with the applicable terms, policies, and usage restrictions of those providers.
Uouo Duo LLC does not save customer prompts or model outputs by default and does not use customer prompts or outputs to train its own AI models. Prompts, outputs, and related request data are processed transiently as necessary to provide the Service, route requests, calculate usage, prevent abuse, debug service errors, and maintain security. Data may be retained longer where necessary for abuse investigation, fraud prevention, security, legal obligations, payment disputes, or sanctions compliance.
8. AI outputs and professional advice
AI outputs may be inaccurate, incomplete, offensive, unsafe, or unsuitable for a particular purpose. You must independently review and verify outputs before relying on them. The Service does not provide legal, medical, financial, tax, investment, professional, or regulated advice.
9. Intellectual property
We retain all rights in the Service, software, documentation, branding, and trademarks. These Terms do not grant you any rights other than the limited right to use the Service as permitted here. You may not remove proprietary notices or misuse our brand.
10. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, to the maximum extent permitted by law. We do not guarantee that the Service or any upstream provider will be uninterrupted, error-free, accurate, secure, available in any region, or suitable for a particular purpose.
11. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption. Uouo Duo LLC's total liability for all claims relating to the Service will not exceed the amount you paid to Uouo Duo LLC for the Service during the three months before the event giving rise to the claim. For users who used the Service free of charge, Uouo Duo LLC's total liability will not exceed US$100.
12. Sanctions and export controls
You may not use the Service if you are subject to applicable sanctions or from comprehensively sanctioned or legally restricted jurisdictions. You must comply with applicable export control laws. We may reject, block, suspend, or terminate access or payments based on sanctions, export control, fraud, wallet risk, payment risk, or abuse risk.
13. Business customers
Business customers are supported. A data processing agreement, security questionnaire, custom retention terms, service levels, or enterprise terms may be made available or required where applicable, but only if separately agreed in writing.
14. Changes and termination
You may stop using the Service at any time. We may update the Service and these Terms from time to time. Material changes may be notified through the Service or by email, and continued use after the effective date constitutes acceptance. Provisions that by their nature should survive termination will survive.
15. Governing law, venue, and contact
These Terms are governed by laws of the State of Wyoming, United States, without regard to conflict of law principles. The state or federal courts located in Wyoming, United States will have exclusive jurisdiction over disputes arising from or relating to the Service, unless applicable law requires otherwise.
